# When will I receive my K-1?
Seed Labs provides tax information for the prior calendar year as soon as they become available. Exact details are available in your Tax Center. 

Here is the timeline:

| Mid to Late March | Estimated K-1s are sent out for applicable entities. These can be used for tax planning purposes while final K-1s are being prepared. |
| April to August | Final K-1s will be made available as they are completed. |

Your Tax Report will show the most up-to-date estimated delivery dates for your K-1s and you will be notified by email as they are made available. Your Tax Center is available at [seedlabs.com/taxes](https://seedlabs.com/taxes).

# Will I receive a K-1?
Schedule K-1s are issued only for investments with taxable events in the previous calendar year, including new investments made during that year. These taxable events can include income, expenses, and other financial activities. For investments without any taxable activity during the prior year, your Tax Center will display a "No filing needed" status.

# Why can't you create all the K-1's I need right now?
For most simple investments, K-1s are generated in seconds and made immediately available to you well in advance of most tax deadlines.

However, for non-standard investments, such as growth-stage deals that invest into pass-through entities, we have to wait on upstream entities to file their tax return before we can generate our K-1's. As soon as we receive upstream tax documents, we generate K1s and make them available to you within 24 hours. The estimated K1 delivery date on your portal is therefore largely out of Seed Labs's control and is subject to change.

# What are passthrough entity investments and why do they take longer?

Some deals may choose to acquires indirect shares of the underlying company via an SPV or fund. These "upstream" entities from which exposure is purchased are almost always considered passthrough entities for tax purposes. In order for us to produce your K-1, we first need to receive the upstream entity's K-1 issued to the deal vehicle.

When we receive that upstream K-1 is entirely outside of our control. By IRS rules, the upstream entity has until **March 15** to produce their K-1s, and they have the right to file for a **6-month IRS extension**. In a worst-case scenario, this means we may not receive the upstream entity's K-1 until **September 15**.

This is a standard occurrence in venture investing, and your CPA should be well-equipped to advise on how to plan around it (e.g., filing your own extension). Your Tax Center will always reflect the most current estimated delivery dates as we learn more.

# Will I get notified when each K1 is available or when a K1 will not be issued?
Yes. You will be notified by email as each K1 is made available.
